MIAMI, May 16, 2022 (GLOBE NEWSWIRE) — Digital World Acquisition Corp. (Nasdaq: DWAC), a special purpose acquisition company, and Trump Media & Technology Group Corp. (“TMTG”) announced today that DWAC has filed with the U.S. Securities and Exchange Commission (“SEC”) a registration statement on Form S-4 (the “Registration Statement”) in connection with DWAC’s proposed business combination with TMTG.
On October 20, 2021, DWAC and TMTG entered into a definitive merger agreement, and today’s filing is a substantial step towards completing their de-SPAC. The transaction is expected to close in the second half of 2022, subject to certain conditions.
The transaction is expected to provide TMTG approximately $1.25 billion of net proceeds at close, assuming no redemptions by DWAC stockholders. These proceeds will be used, among other things, to fund the development and growth of TMTG’s products—including the TruthSocial app.

White House NSA Organizes Security Summit With 50 Nation Peers to Discuss Future of the Internet
What could possibly go wrong when the National Security Advisor, Jake Sullivan, organizes a “minister level launch of the Declaration for the Future of the Internet.” Put more succinctly, that would be 50 nation intelligence ministers getting together to decide what they will permit on the internet.
Apparently, a collective partner rule book is forthcoming. Big Tech will be given specific instructions on how to comply.
The global rulebook on how to handle, define and eliminate ‘disinformation’, ‘misinformation’ and ‘malinformation’ on the world-wide internet.

I don’t trust them for a second and expect them to use some illusion of consensus to impose an international standard on USA, thus subverting the First Amendment. Pretty sure the launch will be 100% PR mind-control and that Deep State-driven standards will be “agreed upon” behind the scenes. Truth Social has completed a migration to a massive cloud computing infrastructure run by the video giant Rumble, clearing the way for the social platform started by former President Donald Trump to onboard millions of users quickly, officials told Just the News.
The partnership between two of the nation’s emerging free speech platforms — completed this week — means Truth Social will be ending its beta testing and controlled account creation and moving quickly to erase a backlog of consumers who have been waiting a few weeks to join the platform.
“Yesterday, Truth Social and Rumble took a major stride toward rescuing the internet from the grip of the Big Tech tyrants,” said Devin Nunes, the former congressman who in January became CEO of Trump Media and Technology Group, which owns Truth Social.

Obama Emphasizes the Importance of the Public-Private Partnership Controlling and Labeling Information
In the background of politics and government interests, there has been a visible shadow discussion barely visible behind the opaque glass door. Today, that door opened, and Barack Obama stepped out and delivered a speech. Now we get significant clarity on the movements CTH has been warning about.
It absolutely does not come as a coincidence that former President Obama delivered THAT speech today about misinformation and disinformation amid the intelligence community effort to control information and social media. The timing tells a story, specifically the timing just a day after former Obama administration intelligence officials wrote a letter {SEE HERE} warning about efforts to break up the information control by Big Tech and Social Media.
The intelligence apparatus does not want the public-private partnership between government and big tech social media, that they created during Obama’s term, interfered with. President Obama steps forth to put an exclamation point in place by saying the public-private partnership must control information.
I cannot emphasize enough, how close this collective demand is to a similar construct in Orwell’s 1984 prediction of “The Ministry of Truth.” Indeed, if you follow the need for government control to its logical conclusion, these demands by the U.S. administrative state architects are identical.

The social media and communication platform Twitter, responded to the bid by billionaire entrepreneur Elon Musk by announcing Friday the Twitter board of directors has unanimously adopted a “poison pill” defense in response to Tesla CEO Elon Musk’s proposal to buy the company and take it private. Twitter said the move, formally called a “limited duration shareholder rights plan,” aims to enable its investors to “realize the full value of their investment” by reducing the likelihood that any one person can gain control of the company without either paying shareholders a premium or giving the board more time. Poison pills are often used to defend against hostile takeovers.
According to Twitter’s plan, if Musk or any other person or group acquires at least 15 percent of Twitter’s stock, the poison pill will trigger.

Elon Musk has offered to buy Twitter in a $41.39 billion all-cash deal that would take the company private, telling the board chairman in an offer letter: ‘Twitter has extraordinary potential. I will unlock it.’ Musk insisted that his bid was his ‘best and final offer’, adding that ‘if it is not accepted, I would need to reconsider my position as a shareholder,’ a regulatory filing on Thursday morning showed. His offer price of $54.20 per share represents a 38 percent premium to the closing price of Twitter’s stock on April 1, the last trading day before the Tesla CEO publicly revealed his 9.2 percent stake in the company, sending the stock popping.

The importance of fuzzy lines in maintaining a sane world
Online speech restrictions make sense up to a point. There is a reasonable line in there somewhere. Twitter is going way to far in only one direction, so almost all of us see its restrictions are unreasonable and probably unsustainable. This situation illustrates 1) the importance of lines, and 2) that lines are necessarily fuzzy, and 3) that even fuzzy lines have to be firm in the right places.
Over the past six decades, USA has waffled too much on our fuzzy lines, both legal and cultural. Fuzzy lines are hard to draw and hard to keep firm. Trump’s border wall is an example of a successful firm fuzzy line as were his immigration policies. TBH, gay marriage probably went to far. It crossed a fuzzy line of accepting homosexuality probably too much. Once crossed, all manner of gender “rights” have made even human identities fuzzy. Today, “abortion rights” are even beginning to include the right to kill your “perinatal” infant.
In thinking about fuzzy lines it is crucial that we all recognize that all cultures are fundamentally held together by Lowest Common Denominator behavioral rules and as such are kind of stupid and very easy to attack. All cultures are held together with fuzzy lines. No culture is perfect. All cultures can be destabilized by constantly pushing against their fuzzy lines. Some pushing is good. Too much pushing is bad. Don’t make perfect be the enemy of good enough. Don’t allow woke to be the enemy of reason. Or anyone’s sexuality or identity the enemy of a reasonably well-functioning society. It’s not easy to do this right but it is not impossible either and it must be done or chaos ensues. ABN
